This is a legal agreement (“Agreement”) between you (hereinafter “you” or “your”) and INSTITUTE FOR CONTINUING EDUCATION, INC. (hereinafter “ICE”, “we” or “us”). CHECK BOX AND "I agree" BUTTON ASSOCIATED WITH THIS ELECTRONIC AGREEMENT, YOU ARE CONSENTING TO BE BOUND BY THESE TERMS. By accessing any areas of this website, homepage www.4ice.com, you agree to be bound by the terms and conditions set forth below. If you do not agree with these terms, you should not use this website. The content of the pages of this website is for your general information and use only and is subject to change without notice. Website Information

As used herein: “System” means the www.4ice.com website and related software components (in object code form) hosted by ICE, including, without limitation, the help text and other online documentation that is generally made available by ICE to end-users of the System (“Documentation”).

The System contains material which is owned by or licensed to Institute for Continuing Education. This material includes, but is not limited to, the design, layout, look, appearance and graphics. Some content has been supplied by third parties and that ICE makes no warranty whatsoever with respect to such content. ICE has not attempted to nor has it verified the accuracy or completeness of such content, nor does ICE have any obligation to update or correct any such content. By accessing the System and/or purchasing course content from ICE, you hereby agree to hold harmless and release ICE, and its directors, officers, agents, and employees from any and all liability or loss or damage based on, or in any way related to, the System or ICE’s course content . Reproduction is prohibited other than in accordance with the copyright notice, which forms part of these terms and conditions. YOU SHALL NOT YOURSELF, OR THROUGH ANY AGENT OR THIRD PARTY, DECOMPILE, DISASSEMBLE, REVERSE ENGINEER, OR OTHERWISE ATTEMPT TO DERIVE SOURCE CODE FROM THE SYSTEM OR ANY OF ITS CONTENT, OR MODIFY OR CREATE DERIVATIVE WORKS BASED ON THE SYSTEM OR ANY OF ITS CONTENT.

You shall not yourself, or through any agent or third party: (a) use the System to provide services to third parties; (b) frame or mirror any content forming part of the System; (c) use the System in violation of applicable laws; or (d) use the System to send or store infringing, obscene, threatening, or otherwise unlawful, tortious or objectionable material. You will promptly notify ICE of any unauthorized disclosure, reproduction or distribution of the System or any codes which comes to your attention or which you reasonably suspect.

The System may include links to other websites. These links are provided for your convenience to provide further information. They do not signify that we endorse the linked websites. ICE is not responsible for examining or evaluating, and ICE does not warrant the content of these websites. ICE does not assume any responsibility or liability for the actions, products or content of these websites or of any other third party websites. You should carefully review their privacy statements and other conditions of use.

ICE does guarantee that the System or information thereon will be accurate, complete, and/or current at all times. The System may contain technical inaccuracies or typographical errors. ICE will regularly review and revise information, products, and services described inthe System. ICE reserves the right to make changes without notice. Mission Statement

It is the mission of Institute for Continuing Education to provide quality distance education courses to licensed professionals that are informative, relevant, and fully compliant with all regulating bodies, while supporting the continuing education experience with excellent customer service.


ICE only operates in states where ICE has documented approval from the state to operate as a CE school/provider. In addition, ICE only sells courses that are state-approved. Purpose of ICE Courses

All ICE courses are approved to satisfy CE requirements. While ICE has pre-bundled packages to fulfill all CE requirements in a given state, it is the responsibility of the licensee to ensure the correct number of CE hours and category (CORE, elective, mandatory, etc.) are completed in order to renew their license with the state. ICE is not responsible if a student does not order a particular course required to fulfill his or her CE requirements.

Licensed professionals should be aware that completion of approved ICE courses will satisfy the renewal education requirements, but does not automatically renew a license with a state regulator or other governing body. All licensees must follow their regulator’s rules and requirements, for which ICE makes no claims of responsibility. It is the licensee’s responsibility to renew his or her license with the regulator and completion of ICE courses will only satisfy the CE requirement.

Course Fees, Promotional Codes, Corporate Sales Refunds, & Access

Fees

Course Fees must be paid in full prior to beginning a course. ICE accepts credit card payments only by VISA, MASTERCARD, and DISCOVER. Promotional discounts are available at varying times. In order to obtain any promotional discount, the promotional code must be applied at the time of purchase. Partial credit is not given for any course. By agreeing to these Terms of Service, the student agrees to pay ICE (“school”) the total stated fees. The school agrees to provide the occupational training in accordance with the provisions of the school’s current Catalog.

Promotional Codes, Corporate Sales & Discounts

Occasionally ICE may offer sales or discounts to customers or organizations. These promotional codes will apply for a specific period or time or to specific customers, and are administered through the system at time of sale.

ICE offers corporate sales at a bulk discounted rate. Payments for corporate sales must be made at agreed upon terms in a separate contract between ICE and the party to the contract. All other terms regarding ICE’s website and course enrollments, access, examinations, and course delivery are bound by this Term of Service.

Cancellation and Refund Policy

ICE will issue a full refund for unfinished courses if requested in writing within 7 days of purchase. Any refund requests received after that time will incur a $15 processing fee. Our system does not allow refunds on Promotional Codes not applied at the time of purchase. Requests for refunds made after 60 days of purchase will receive a credit in the form of course hours equal to those purchased. No refunds will be given 6 months after the date of purchase. Please email your written request to ice@4ice.com and contact our Customer Service Department for refund questions at 1-800-621-8341.

Colorado Refund Policy

In the State of Colorado only, students not accepted to the school are entitled to all moneys paid. Students who cancel this contract by notifying the school within three (3) business days are entitled to a full refund of all tuition and fees paid. Students who withdraw after three (3) business days, but before commencement of classes (commencement is the date the course was started by student), are entitled to a full refund of all tuition and fees paid except the maximum cancellation charge of $150.00 or 25% of the contract price which ever is less. In the case of students withdrawing after commencement of classes (commencement is the date the course was started by student), the school will retain the cancellation charge plus a percentage of tuition and fees, which is based on the percentage of contact hours attended in the Program/Stand Alone Course, as described in the table below. The refund is based on the official date of termination or withdrawal. ICE is committed to our student’s satisfaction. Refunds will be processed within 30 days of request.

*The amount of lessons varies per course; refund will be based on percentage of lessons within that particular course.

1. The student may cancel this contract at any time prior to midnight of the third business day after signing this contract (agreeing to these terms and conditions at time of purchase by clicking on agree to terms and conditions checkbox on purchase page).

2. All refunds will be made within 30 days from the date of termination. The official date of termination or withdrawal of a student shall be determined in the following manner:

a. a.The date on which the school receives written notice of the student’s intention to discontinue the training program; or

b. b.The date on which the student violates published school policy, which provides for termination.

c. c.Should a student fail to return from an excused leave of absence, the effective date of termination for a student on an extended leave of absence or a leave of absence is the earlier of the date the school determines the student is not returning or the day following the expected return date.

3. The student will receive a full refund of tuition and fees paid if the school discontinues a Stand Alone course within a period of time a student could have reasonably completed it, except that this provision shall not apply in the event the school ceases operation.

4. The policy for granting credit for previous training shall not impact the refund policy.

Access

All ICE students are provided with 6 months of access to courses, unless otherwise regulated by a state, once payment of courses is confirmed. Accepting these Terms of Service, you understand ICE will terminate your access to courses that are not completed within 6 months from the time of your order.

You agree that ICE has the right to terminate an account at any time if ICE has reason to believe that the user is fraudulently accessing the courses for unauthorized reasons. MAXIMUM NUMBER OF HOURS PER DAY

Some states limit the number of hours a licensee may complete per day. This includes Arizona, Colorado, and Minnesota. ICE's system will not manage this for our users. Therefore, it is up to each ICE student to ensure that he or she does not complete more than the required amount, specified below, that each state limits in their rules. While a Certificate of Completion can be earned by a student for more than the allowed hours, it is the student's responsibility to ensure that the maximum number of hours per day is not exceeded on their certificates.

AZ: maximum 9 hours/day

CO: maximum 8 hours/day

MN: maximum 8 hours/day

If a course expires in any state, access to this course will be denied past this date. ICE will notify students within two weeks of a course expiration.

Texas licensees may not complete an MCE course within the first 24 hours from enrollment.

Colorado Postponement of starting date In the State of Colorado only, the postponement of a course starting date, whether at the request of the school or the student, requires a written agreement signed by the student and the school. The agreement must set forth:

a.) Whether the postponement is for the convenience of the school or student; and,

b.) A deadline for the new start date, beyond which the start date will not be postponed.

If the course is not commenced, or the student fails to attend by the new start date set forth in the agreement, the student will be entitled to an appropriate refund of prepaid tuition and fees within 30 days of the deadline of the new start date set forth in the agreement, determined in accordance with the school’s refund policy and all applicable laws and rules concerning the Private Occupational Education Act of 1981.

Enrollment & Attendance

Students may enroll via our website at 24 hours per day, 7 days a week. Each student must complete an enrollment form prior to ordering courses. Upon enrollment, students will be given a login name and password that is unique and must be managed securely by the student. ICE does not represent to manage the security of passwords for individuals and expects that all students act responsibly and complete all courses on their own.

ICE requires that all students complete 100% of the attendance individually throughout each course. You will be asked to confirm that you are the person who enrolled as well as the person who completed 100% of the course. ICE takes this affirmation seriously as security is of utmost importance to the integrity of our compliance, certificates of completion, and reports to each state regulator.

Email Address

ICE obtains an email address from students for the purpose of communicating confirmation of enrollment, course completion, and upcoming course expiration. ICE will not send regular marketing or information emails to any students. ICE will send marketing emails with price discounts and license expiration reminders to students just prior to their license expiration. In your enrollment page, you may opt out of receiving any emails; however, enrollment confirmation, course completion, and upcoming course expirations will still be emailed.

Course Delivery

ICE courses are published in order to satisfy state requirements. Course material is broken down into modules that must be completed in a linear fashion. Students must complete a quiz at the end of each module with a minimum of 70% accuracy.* Students in states that mandate seat time for CE course completion must remain in the course for the approved amount of time. Certificates of Completion will not be available to the student until this time is met as well as master of the content.

*States that mandate a lower or higher mastery rate are adjusted for compliance:

Upon completion of all modules in the course, students will proceed to a final exam if is required by the state rules:

FINAL EXAM DELIVERED TO: AZ, IL, KY, MN, MO, TX MCE Courses

NO EXAM: IN*, MI, NY, OH, PA, VA, TX elective courses

*Indiana licensees are required to complete a minimum of 10 questions per credit hour which is accomplished through the quizzes after each module of the course. Therefore, no final examination is administered to the licensee.

Certificate of Completion

Each course must be completed in order to receive a Certificate of Completion. Completion consists of (a) passing all module quizzes, (b) passing a final exam if required by state, and (c) completion of the Survey. Completion of course work at any other provider is not considered for partial credit towards ICE CE hours. It is the responsibility of the student to retain his or her Certificates of Completion for his or her records. In the event a student needs to reprint a Certificate of Completion, the following procedures are in place:

· For Courses completed in ICE’s legacy learning management system prior to 7/1/2011, Certificate of Completions must be requested via email at ice@4ice.com.

· For courses completed within this website system, click on “Course History” in your student account (on the left side of the page) and you will be able to click on “Certificate” next to each completed course title.*


*For Virginia Licensees, once you print your Certificate of Completion and get the certificate notarized, email ice@4ice.com confirming you this notarization and ICE will then report your courses. ICE is not responsible for students who do not notify ICE of their notarization of the Certificate.
PLEASE NOTE: ICE Certificates of Completion are dated according to CENTRAL STANDARD TIME. ICE is unable to alter the completion date on a Certificate of Completion.

ICE Stores Certificates of Completion for a minimum of five years, or more if required by state regulation.

System Requirements for ICE Courses

ICE uses a custom html course player for all course publishing. This works on most browsers and operating systems. System requirements are as follows:

Windows Users: Internet Explorer v 9 and above, Mozilla Firefox v18 or above, Google Chrome v24 or above,
Apple Users: Safari v 5.1 or above (for Mac users)

You are solely responsible for obtaining all equipment and software necessary for you to access and use the System and for the compatibility thereof with the System, and for paying all fees including, without limitation, all taxes and Internet access fees, necessary to use the System.

Final Examinations

A final exam is administered in jurisdictions where rule requires it. Final exams are taken from a bank of questions and the pass rate is specific to each state (see list below). Illinois requires proctored exams.

Dismissal from ICE

ICE retains the right to dismiss any student for misuse of this website under any circumstances. It is at the discretion of ICE’s Administrator/Director to dismiss a student, who will lose the ability to access his or her account. ICE will notify this student via email the reason for dismissal within 5 days of deactivation of the student’s account.

Kentucky Student Protection Fund

The Kentucky Commission on Proprietary Education requires the Kentucky Real Estate Commission to ensure there is a renewable Student Protection Fund. This administrative regulation establishes standards for distribution of the funds. The Student Protection Fund is managed by the Kentucky Real Estate Commission. If you wish to file a claim, you must complete Form for Claims Against the Student Protection Fund", Form PE-38. In order to be considered, a claim for restitution from the student protection fund shall be made within one (1) year of the date of the school or program closure. An applicant for payment from the student protection fund who is dissatisfied with the decision of the commission may ask for reconsideration of the commission’s determination regarding eligibility for restitution from the student protection fund. The request for reconsideration shall be submitted by the applicant to the commission within thirty (30) calendar days of the mailing date of the commission’s decision. The request for reconsideration shall be signed by the student and explain the reasons in support of a different decision.Within forty-five (45) days of receipt of the request for reconsideration, the commission shall make a final determination and provide notice to the applicant.

Colorado Student Grievance Procedure

In the State of Colorado only, the student grievance procedure includes the following steps/elements:

(a) investigation of the complaint by school administrator;

(b) review by an impartial mediator or other party;

(c) an opportunity to present evidence both documentary and testimonial

and to confront evidence presented to the contrary;

(d) the right of the student to be represented at the student`s own expense;

(e) a summary record of the dialogue/hearing, to be kept by the school for a

period of three years subject to provision of existing privacy and disclosure laws;

(f) a written recommendation by the hearing mediator/other party upon conclusion of the hearing:

(g) right of appeal to the School Director.

Colorado Complaints, which cannot be resolved by direct negotiation between the student and the school, may be filed online with the Division of Private Occupational Schools of the Colorado Department of Higher Education, at www.state.co.us/dpos, 303/866-2723. All student complaints submitted to the Division must be in writing and “shall be filed within two years after the student discontinues training at the school.”

All Rights Reserved. All course materials offered by ICE are copyrighted by either ICE or its licensed content providers. No part of ICE`s course content may be reproduced, retransmitted, distributed, sold, published, broadcasted or circulated, including to individuals in the same company or organization, without the express written consent of ICE. Course content may be displayed or printed for your personal, non-commercial use only. Purchase of a course includes a license for one person to use the course materials for a period of 6 months from the date of shipment or activation unless otherwise stated. It is not permissible to distribute files containing course materials or printed versions of course materials to individuals who have not purchased the course(s) without the express written consent from ICE. It is also not permissible to make the course materials available to others over a computer network, Intranet, Internet, or any other storage, transmittal, or retrieval system.

Privacy Statement

You may be asked to make submissions of data and information to ICE as part of the System that solicits or permits input or submission of such information (“User Submissions”). By using the System, you agree to the collection and use of certain information by ICE. You understand that User Submissions are not and shall not be deemed to be your confidential and/or proprietary information, regardless of whether any submission is marked “Confidential” and/or “Proprietary”. All User Submissions of any type, and the responses of ICE or any other user, if any, and all intellectual property rights therein, including, without limitation, any derivatives, modifications, updates and improvements thereto, shall be owned solely by ICE. You hereby warrant that the User Submissions are and will be in compliance with all applicable laws and regulations. At no time will ICE sell personal information we receive from you to anyone else. User Submissions to the Website for purchases, registration, or personalized services will be used to fulfill orders as well as customer identification and notification purposes. From time to time, ICE or its co-brand partners may send its customers information about products or services related to their profession. In addition to the individual User Submissions, for the purpose of advertising, certain generic website information is collected. None of this information can be connected to any individual ICE user. ICE uses industry-standard encryption technologies to safeguard your information.

Viruses

There is always the possibility of unknowingly acquiring computer viruses on the Internet. It is your responsibility to scan any and all downloaded materials received from the Internet, including the ICE System. ICE shall not be responsible or liable for any damage caused by viruses or related hazards, whether or not that virus or hazard resulted from a visit to ICE website. You, and not ICE, assume the risk and the entire cost of all necessary servicing, repairs, or correction related to computer viruses.

Security

ICE takes standard precautions in seeking to ensure that our System is secure and that it meets industry standards, including the application of firewalls for our Internet-based systems. When appropriate, ICE employs the use of encryption technologies, user authentication systems (e.g., passwords and personal identification numbers) and access control mechanisms. All financial transactions conducted through the System are encrypted for your security and protection.

Limitation of Damages

UNDER NO CIRCUMSTANCES SHALL ICE BE LIABLE FOR ANY DIRECT OR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SYSTEM OR THE CONTENT OR MATERIALS ON THE SYSTEM, EVEN IF ICE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. If applicable law does not permit the exclusion or limitation of liability or certain categories of damages, the above limitation or exclusion may not apply to you. In no event, however, shall ICE`s total liability to you for all damages, losses, or causes of action exceed the amount paid by you, if any, for accessing the System and/or material purchased.
